Zacatecas Silver Corp. has successfully closed the second and final tranche of its non-brokered private placement, raising a total of $2.5 million. These funds will support exploration activities across the company's six projects in Mexico.

Zacatecas Silver Secures $2.5 Million in Non-Brokered Private Placement

Zacatecas Silver Corp. has announced the completion of the second and final tranche of its non-brokered private placement, marking a significant milestone in the company’s growth strategy. The offering, which began on July 14, 2026, and concluded on July 29, 2026, raised a total of $2,499,989.94 through the issuance of 35,714,142 units at $0.07 per unit.

This successful fundraising initiative will provide the necessary capital to advance the company’s exploration projects across Mexico, with a particular focus on the Oso Negro project in Sonora. The funds will also support ongoing exploration activities at the company’s other five projects located in Zacatecas, Morelos, and Oaxaca.

Details of the Private Placement

Each unit issued in the private placement consists of one common share of the company and one common share purchase warrant. Each warrant entitles the holder to purchase an additional common share at an exercise price of $0.09 for a period of two years from the closing date. The company retains the right to accelerate the expiry date of the warrants if certain conditions are met.

Charles Hethey, a director of Zacatecas Silver, participated in the offering through a corporation he controls, subscribing for 300,000 units under the second tranche. This participation is considered a related party transaction under Multilateral Instrument 61-101. The company relied on exemptions from formal valuation and minority shareholder approval requirements, as Mr. Hethey’s participation did not exceed 25% of the fair market value of the company’s market capitalization.

In connection with the second tranche, the company paid total finders’ fees of $4,256.42 and issued 60,805 non-transferable share purchase warrants to finders. For the entire offering, the company paid total finders’ fees of $71,190 and issued 1,016,999 finder warrants. All securities issued in connection with the offering are subject to a four-month-and-one-day hold period under applicable Canadian securities laws.

Exploration Plans and Project Portfolio

The proceeds from the private placement will primarily fund the company’s planned maiden drill program at the Oso Negro project in Sonora, following the recent completion of Phase Two rock-chip sampling and vein mapping. This project is part of Zacatecas Silver’s diverse portfolio of six exploration projects across Mexico.

The Zacatecas Silver Project located in Zacatecas State within the highly prospective Fresnillo silver belt, is one of the company’s key assets. The project covers 7,826 hectares and hosts a mineral resource estimate at the Panuco deposit comprising 3.41 million tonnes at 187 g/t AgEq for 20.5 million ounces AgEq. The property is strategically located near major mining operations, including MAG Silver’s Juanicipio Mine and Fresnillo PLC’s Fresnillo Mine.

The company also holds the Esperanza project in Morelos state, an advanced-stage project with significant gold and silver resources. The Esperanza project has a measured and indicated mineral resource estimate of 45.4 million tonnes at 0.79 g/t AuEq for 1.15 million ounces AuEq and an inferred mineral resource estimate of 11.2 million tonnes at 0.57 g/t AuEq for 208 thousand ounces AuEq.

Additionally, Zacatecas Silver holds four exploration properties in Sonora and Oaxaca, including Oso Negro, Cumaro, La Lola, and Ejutla. These projects offer significant potential for discovering new mineral resources and expanding the company’s portfolio.
